Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Castar Ventures, Inc. ("Castari," "we," "our," or "us"), governing your access to and use of the Castari platform, website, CLI tools, APIs, and all related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
2. Account Registration
To access certain features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during the registration process
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the security and confidentiality of your login credentials and API keys
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You may not share your account credentials or API keys with any third party. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
3. Description of Services
Castari provides a platform for deploying, managing, and invoking custom AI agents. Our Services include, but are not limited to:
- Agent deployment infrastructure using isolated sandbox environments
- CLI tools and SDKs for configuring and deploying agents
- A web-based dashboard for managing agents, viewing logs, and monitoring usage
- APIs for programmatic agent invocation and management
- MCP (Model Context Protocol) gateway services
Shared Responsibility
Castari operates under a shared responsibility model. We are responsible for the security and availability of the underlying platform infrastructure. You are responsible for securing your agent configurations, system prompts, data, tools, MCP server configurations, and any code or content deployed through the Services.
Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
4. User Content and Conduct
"User Content" refers to any agent configurations, system prompts, code, data, files, or other materials that you upload, deploy, or transmit through the Services.
Ownership
You retain all ownership rights in your User Content. By using our Services, you grant Castari a limited, non-exclusive, worldwide license to access, use, process, and transmit your User Content solely as necessary to provide and improve the Services. We may collect and use anonymized, aggregated data derived from your use of the Services for analytics and service improvement purposes.
Your Responsibilities
You are solely responsible for your User Content and the behavior of any agents you deploy through the Services. You represent and warrant that:
- You have all necessary rights and permissions to use and deploy your User Content
- Your User Content does not violate any applicable law, regulation, or third-party rights
- Your agents will not be used to generate, process, or distribute harmful, illegal, or infringing content
- You will comply with the terms of service of any third-party AI model providers accessed through the platform
5. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Using the Services for any unlawful purpose or in violation of any applicable laws or regulations
- Deploying agents that engage in harassment, abuse, threats, or the generation of illegal content
- Attempting to gain unauthorized access to our systems, networks, or other users' accounts
- Reverse engineering, decompiling, or disassembling any aspect of the Services
- Scraping, data mining, or using automated means to access the Services except through our provided APIs
- Reselling, sublicensing, or redistributing access to the Services without our prior written consent
- Interfering with or disrupting the integrity or performance of the Services
- Deploying agents designed to exploit, harm, or deceive end users
- Using the Services to generate content that exploits or harms minors in any way
- Circumventing any rate limits, usage quotas, or other technical restrictions
6. Payment and Billing
Certain features of the Services require payment. By subscribing to a paid plan or purchasing credits, you agree to the following:
Fees and Charges
You agree to pay all fees associated with your use of the Services as described on our pricing page. All fees are quoted in U.S. dollars unless otherwise stated. We reserve the right to change our pricing with reasonable notice.
Subscriptions
Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
Refunds
All fees are non-refundable except as required by applicable law. If you believe you have been charged in error, please contact us within 30 days of the charge.
7. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and other materials provided by Castari, are owned by or licensed to Castar Ventures, Inc. and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Services in accordance with these Terms. You may not use our trademarks, logos, or branding without our prior written consent.
8. Third-Party Services
The Services may integrate with or rely on third-party services, including AI model providers, cloud infrastructure providers, and payment processors. Your use of any third-party services is subject to the respective third-party's terms of service and privacy policies.
Castari is not responsible for the availability, accuracy, or content of third-party services and does not endorse any third-party products or services. Any interactions or transactions with third-party providers are solely between you and the third party.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
CASTARI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR OUTPUT GENERATED BY AI AGENTS DEPLOYED THROUGH THE SERVICES. YOU ACKNOWLEDGE THAT AI-GENERATED OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES, AND YOU USE SUCH OUTPUTS AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CASTAR VENTURES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of (or inability to use) the Services
- Any conduct or content of any third party on the Services
- Any content or output generated by agents deployed through the Services
- Unauthorized access, use, or alteration of your data
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CASTARI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Castar Ventures, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content or the behavior of agents you deploy; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
12. Termination
We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, or conduct that we determine to be harmful to other users or to Castari.
You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will cease immediately, and we may delete your account data and deployed agents.
Sections that by their nature should survive termination shall survive, including but not limited to: intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
13. Dispute Resolution
Informal Resolution
Before filing any formal dispute, you agree to first contact us at founders@castari.com and attempt to resolve the dispute informally for at least forty-five (45) days.
Binding Arbitration
If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by a recognized arbitration organization, rather than in court. The arbitration shall be conducted in English.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in the State of Delaware.
15. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Castari regarding the Services and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
Assignment. You may not assign or transfer these Terms without our prior written consent. Castari may assign these Terms without restriction.
